1. Definitions
In these Terms and Conditions:
- "Service" refers to the investment consulting services provided by Seren Path, including Path Clearing Consultation, Wayfinding Service, and Sanctuary Program.
- "User," "Client," "You," or "Your" refers to any individual or entity engaging our services or accessing our website.
- "We," "Us," "Our," or "Company" refers to Seren Path, a Taiwan-registered investment consulting firm.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements or engagement letters.
- "Content" refers to all information, materials, and documentation provided through our services or website.
2. Acceptance of Terms
By accessing our website, engaging our services, or entering into a service agreement with Seren Path, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
If you do not agree with any part of these terms, you should not use our website or engage our services.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services.
3. Service Description
Seren Path provides professional investment consulting services focused on Taiwan market opportunities. Our services include:
- Path Clearing Consultation: Initial assessment and opportunity identification
- Wayfinding Service: Guidance through investment evaluation and negotiation
- Sanctuary Program: Comprehensive support for complex engagements
Service availability may vary based on regulatory requirements, capacity, and geographic considerations. We reserve the right to decline service requests at our discretion.
Specific service details, deliverables, and timelines are outlined in individual engagement letters or service agreements.
4. User Responsibilities
Accurate Information
You agree to provide accurate, complete, and current information when engaging our services. You are responsible for updating information as needed to maintain accuracy.
Cooperation
You agree to cooperate with our requests for information, documentation, and access necessary to provide services effectively.
Prohibited Uses
You agree not to:
- Use our services for any illegal or fraudulent purposes
- Provide false or misleading information
- Interfere with or disrupt our services or systems
- Attempt to gain unauthorized access to our systems or data
- Use our services to harm, threaten, or harass others
- Violate any applicable laws or regulations
Independent Decision-Making
You acknowledge that our services provide guidance and information to support your decision-making, but final investment decisions remain your responsibility. You should consult with legal, tax, and financial advisors as appropriate.
5. Intellectual Property
Our Content
All content, materials, methodologies, and intellectual property provided by Seren Path remain our exclusive property. This includes:
- Website design and content
- Service methodologies and frameworks
- Reports, analyses, and recommendations
- Proprietary tools and templates
- Trademarks and brand materials
License Grant
We grant you a limited, non-exclusive, non-transferable license to use materials provided as part of our services for your internal business purposes only. You may not:
- Reproduce, modify, or create derivative works
- Distribute, sell, or license to third parties
- Reverse engineer or extract methodologies
- Remove copyright or proprietary notices
Your Information
You retain ownership of information and materials you provide to us. By sharing information, you grant us a license to use it as necessary to provide services and fulfill our obligations.
6. Fees and Payment
Service Fees
Service fees are specified in our engagement letters or service agreements. Current standard fees are:
- Path Clearing Consultation: NT$10,600
- Wayfinding Service: NT$35,500
- Sanctuary Program: NT$61,500
Payment Terms
Unless otherwise specified:
- Fees are due upon engagement commencement or as specified in the agreement
- Payment methods include bank transfer and other approved methods
- Late payments may incur interest at the rate permitted by Taiwan law
- All fees are quoted in New Taiwan Dollars (NT$)
Refund Policy
Services are provided on a non-refundable basis once engagement begins. However, we will work with you to address any concerns about service quality or delivery.
If you wish to terminate an engagement before completion, partial refunds may be considered based on work completed and documented expenses incurred.
7. Confidentiality
We maintain strict confidentiality regarding all client information and engagements. We will not disclose your information to third parties except:
- With your explicit consent
- To service providers bound by confidentiality obligations
- As required by law or regulatory authorities
- To protect our legal rights or interests
You agree to maintain confidentiality regarding our methodologies, proprietary information, and other clients' information you may learn about during our engagement.
8. Disclaimers
Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including:
- Warranties of merchantability or fitness for a particular purpose
- Guarantees of specific investment outcomes or returns
- Warranties that our services will be uninterrupted or error-free
- Warranties regarding third-party information or services
No Investment Advice: Our services provide information and guidance but do not constitute investment advice, legal advice, or tax advice. You should consult appropriate professionals for such advice.
Market Risks: Investments involve risk, including potential loss of capital. Past performance does not guarantee future results. We do not guarantee investment success or specific outcomes.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services is limited to the fees you paid for the specific service giving rise to the claim
- We are not liable for indirect, incidental, consequential, special, or punitive damages
- We are not liable for investment losses or opportunity costs
- We are not liable for damages resulting from unauthorized access to our systems or data breaches beyond our reasonable control
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Seren Path, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms and Conditions
- Your violation of any law or third-party rights
- Your use of our services
- Information you provide that is false, misleading, or inaccurate
- Your investment decisions or actions
11. Termination
By You
You may terminate an engagement by providing written notice. Fees for services already rendered and documented expenses remain payable.
By Us
We may terminate an engagement if:
- You breach these Terms and Conditions
- Payment obligations are not met
- We reasonably believe continuation would violate laws or regulations
- Conflicts of interest arise that cannot be resolved
- You fail to cooperate or provide necessary information
Effects of Termination
Upon termination, we will provide deliverables for completed work, and you remain obligated to pay for services rendered. Confidentiality obligations survive termination.
12. Dispute Resolution
Governing Law
These Terms and Conditions are governed by the laws of Taiwan (Republic of China), without regard to conflict of law principles.
Jurisdiction
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.
Informal Resolution

13. General Provisions
Entire Agreement
These Terms and Conditions, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Seren Path regarding our services.
Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it later.
Assignment
You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations to any successor entity.
Notices
All notices under these terms should be sent to [email protected] and will be deemed received when acknowledged.
14. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. When we make material changes:
- We will update the "Last Updated" date
- We will notify active clients via email
- Changes become effective 30 days after notification
- Continued use of services constitutes acceptance of updated terms
Engagements in progress at the time of changes remain governed by the terms in effect when the engagement began, unless otherwise agreed.
